Terms & Conditions — Workfused SRL (Beta Program)

These Terms govern your access to and use of the AI Vocal Agent services provided by WORKFUSED SRL ("Company", "we", "us"). By creating an account, purchasing minutes, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Beta Program Notice

You are accessing a Beta / early-access version of the Services.

Features may be incomplete, unstable, inaccurate, delayed, or removed without notice.

The Services are provided "AS IS" and "AS AVAILABLE."

We disclaim all warranties, service levels, and guarantees. Use at your own risk.

2. Scope & Customer Responsibilities

  • Services are for internal business use only.
  • You are solely responsible for how Services are used, including compliance with laws, scripts, and data accuracy.
  • You must secure your credentials; all activity under your account is your responsibility.
  • You acknowledge that any reliance on dashboards, transcripts, analytics, or AI outputs is at your own risk.

3. Third-Party Services & Telephony

  • Services may integrate with or depend on third-party providers (telephony carriers, CRM tools, orchestration platforms, AI processors).
  • We do not control, warrant, or guarantee the performance, availability, security, or compliance of any third party.
  • Failures, outages, spam labeling, poor quality, or policy enforcement by third parties are not our responsibility.
  • We are not a telecom provider and do not offer emergency calling (e.g., 112/911).

4. Compliance & Acceptable Use

You are responsible for ensuring lawful use, including GDPR, TCPA, CASL, ePrivacy, DNC rules, and sector-specific regulations.

You must obtain all required consents before calling, recording, or processing data.

You must not use the Services for:

  • unlawful, fraudulent, or deceptive activity,
  • harassment, spam, or robocalls without consent,
  • safety-critical or emergency services.

You are responsible for reviewing and validating AI-generated outputs before acting on them.

5. Setup & Changes

  • We may provide onboarding and setup support, but outcomes depend on your cooperation.
  • We may modify or remove features at any time for performance, compliance, or security reasons.
  • No guarantee of compatibility with your systems is given.

6. Minutes & Billing (Beta)

  • Services are billed via prepaid Minutes Bundles.
  • Usage is rounded up to 60 seconds per call (30-second minimum).
  • Internal records maintained by us are final and binding for billing. Dashboards or exports are informational only.
  • Unused minutes expire at the end of the billing cycle or Beta program.
  • All fees are non-refundable except as required by law.

7. Support & Availability

  • Support is best-effort only via email/Slack during business hours.
  • No uptime guarantee. Outages, latency, or degraded performance may occur at any time.
  • Dashboards, analytics, transcripts, and exports are not reliable evidence of usage or performance.

8. Data Protection & Privacy

  • You are the Controller of personal data; we act as Processor.
  • We may retain call logs and transcripts for up to 30–90 days for troubleshooting.
  • Do not submit sensitive or regulated data (health, finance, minors, payment card data) unless a separate signed addendum is in place.
  • Beta systems may not meet final GA security standards.

9. Intellectual Property

  • We own all rights in the Services, models, and software.
  • You retain ownership of your content but grant us a license to process and improve the Services.
  • Feedback may be used to improve the Services with no obligation.

10. Disclaimers

To the fullest extent permitted by law:

  • No warranties are provided.
  • AI outputs, transcripts, and dashboards may be inaccurate, delayed, or misleading.
  • We are not liable for outcomes based on AI or automation.
  • We do not guarantee call quality, deliverability, or success rates.
  • We do not provide professional, legal, medical, or financial advice.

11. Limitation of Liability

  • We are not liable for indirect, incidental, special, consequential, or punitive damages (lost profits, lost data, business interruption).
  • Our maximum liability for all claims in aggregate is limited to the lesser of EUR 500 or 50% of fees paid in the last month.
  • Customer waives all claims for errors, outages, integrations, spam labeling, data loss, or performance issues.
  • This limitation applies even if a remedy fails its essential purpose.

12. Termination

  • We may suspend Services immediately for non-payment, breach of Terms, unlawful use, or security reasons.
  • Either party may terminate with 7 days' notice during Beta.
  • Upon termination, access ceases and data may be deleted after 30 days.

13. Governing Law & Disputes

  • Governed by the laws of Romania.
  • Exclusive jurisdiction: courts of Satu Mare County, Romania.
  • Any claim must be brought within 30 days of arising, or it is permanently barred.

14. Changes to Terms

We may update these Terms at any time by posting a new version with a "Last Updated" date.

Continued use constitutes acceptance of the revised Terms.

15. Miscellaneous

  • These Terms, plus any Order Form and DPA, form the full agreement.
  • You may not assign these Terms without consent. We may assign freely.
  • We are not liable for events outside our control (force majeure, carrier outages, third-party failures).
